1. Introduction
1.1 These Terms and Conditions (“Terms”) govern the use of services provided by Sparkline Technosys Pvt. Ltd. (STPL), including internet services, IT infrastructure solutions, and other related services. By using our services, you agree to comply with these Terms and the rules, policies, and guidelines set forth by STPL.
1.2 By accessing or using any of our services, you (“Customer”) agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with these Terms, you are not authorized to use our services, and you should discontinue use immediately.
1.3 STPL reserves the right to modify, update, or amend these Terms at any time, without prior notice. In such cases, customers will be notified of any significant changes. Continued use of our services after such modifications constitutes your acceptance of the updated Terms. If any changes are unacceptable to you, you must stop using the services.
2. Service Agreement
2.1 Provision of Services: STPL will provide the services as outlined in the individual Service Agreement (“Agreement”) signed by the Customer. The scope, nature, and specifics of the services provided will be detailed in the Agreement.
2.2 Customer Obligations: The Customer agrees to comply with all terms and conditions set forth in the Agreement, as well as these Terms and Conditions. By using the services, the Customer acknowledges that they have reviewed and accepted the terms of both the Agreement and these Terms and Conditions.
2.3 Complete Understanding: The Agreement, along with these Terms and Conditions, constitute the complete and binding understanding between the Customer and STPL. In the event of any conflict between the Agreement and these Terms, the terms outlined in the Service Agreement shall prevail, unless explicitly stated otherwise.
3. Customer Responsibilities
3.1 Equipment Usage:
Customers are responsible for the safe handling, installation, operation, and maintenance of any equipment provided by STPL, including, but not limited to, routers, switches, modems, or any other hardware installed at their premises. Customers should take all necessary precautions to protect the equipment from damage or theft. In the event of any loss, damage, or malfunction due to customer negligence, the customer will be liable for the repair or replacement costs.
3.2 Compliance with Laws:
Customers must use STPL’s services in strict compliance with all applicable local, state, and national laws and regulations, including but not limited to:
- Privacy laws
- Data security regulations
- Intellectual property laws
- Consumer protection laws
Failure to comply with these laws may result in service suspension or termination.
3.3 Unauthorized Activities:
Customers agree not to engage in any of the following unauthorized or prohibited activities:
- Unauthorized Access: Attempting to gain unauthorized access to STPL’s network, systems, or other customers’ accounts.
- Malicious Software: Distributing, uploading, or using any malicious software, viruses, malware, or other harmful programs that could compromise the network or other customers’ data.
- Fraud and Spamming: Engaging in fraudulent activities, spamming, phishing, or any other activities aimed at gaining unauthorized access to personal information or misleading others.
- Illegal Activities: Engaging in any activity that violates applicable laws or regulations, including but not limited to cybercrime, illegal downloads, or intellectual property violations.
Any violation of these responsibilities may lead to the immediate suspension or termination of services, and legal action may be pursued if necessary.
4. Payment Terms
4.1 Billing & Payments: Customers agree to pay all service fees according to the billing cycle outlined in the service agreement. Invoices will be sent electronically or physically as per the customer’s preference.
4.2 Payment Due Date & Late Fees: All invoices must be paid within the period specified in the invoice. Failure to make payments within the due date may result in late payment penalties. STPL reserves the right to charge interest on overdue amounts as per applicable laws. Continued non-payment may result in service suspension or termination.
4.3 Fee Revisions & Notifications: STPL reserves the right to revise service fees at any time. Any changes to pricing will be communicated to customers in advance via email, SMS, or the official website. Customers may continue the service under the new pricing or terminate the service as per termination policies.
5. Privacy and Data Security
5.1 Data Protection & Confidentiality: STPL values customer privacy and ensures that personal and service-related data is collected, processed, and stored securely. Customer data will not be shared, sold, or used for marketing purposes without explicit consent unless mandated by legal authorities.
5.2 Security Measures: STPL employs industry-leading security protocols, including encryption, firewalls, and access control mechanisms, to protect customer data from unauthorized access, cyber threats, or breaches.
5.3 Customer Responsibilities: Customers must take reasonable steps to secure their own devices, accounts, and networks, such as using strong passwords, enabling two-factor authentication, and ensuring their hardware/software is up-to-date. STPL is not responsible for security breaches due to customer negligence.
6. Service Availability and Limitations
6.1 Service Reliability: While STPL aims to provide uninterrupted, high-speed internet services, occasional downtime may occur due to scheduled maintenance, unforeseen technical failures, or external disruptions.
6.2 Outages & Force Majeure: Service interruptions may arise due to unforeseen circumstances such as natural disasters, government regulations, cyberattacks, or infrastructure failures. STPL will take all reasonable measures to restore service as soon as possible but cannot guarantee immediate resolution.
6.3 No Liability for Service Interruptions: STPL shall not be held liable for financial losses, business disruptions, or other consequences resulting from service interruptions, slowdowns, or disconnections, except as outlined in the service agreement.
7. Liability and Limitations
7.1 Limit of Liability: STPL’s total liability for any claims related to service provision shall be limited to the total amount paid by the customer for the affected service in the billing cycle during which the issue occurred.
7.2 Exclusions: STPL is not liable for indirect or incidental damages, such as loss of business, profits, data, or customer goodwill, arising from service disruptions or technical failures.
7.3 Third-Party Services: If STPL services are affected due to failures in third-party systems, such as leased lines from telecom operators, STPL will not be held responsible for damages caused by such dependencies.
8. Service Termination
8.1 Customer-Initiated Termination: Customers wishing to terminate their service must provide prior written notice as per the contract terms. Early termination fees may apply if the termination occurs before the agreed-upon period. Any outstanding balances must be cleared before termination.
8.2 STPL-Initiated Termination: STPL reserves the right to terminate services under the following conditions:
- Non-payment of invoices beyond the grace period.
- Violation of terms, including unauthorized sharing of service or misuse of network resources.
- Engagement in illegal, unethical, or harmful activities using STPL services.
Prior notice will be provided, and customers will have an opportunity to resolve issues before termination, except in cases of severe violations.
8.3 Reactivation & Reconnection Fees: If services are suspended due to non-payment or violations, customers may request reactivation after fulfilling pending dues and compliance requirements. STPL may charge a reactivation fee.
9. Modifications to Terms
9.1 Policy Updates: STPL reserves the right to modify these Terms & Conditions periodically to reflect changes in services, legal requirements, or business policies.
9.2 Notification of Changes: Any significant updates will be communicated via email, SMS, or the STPL website. Customers are responsible for reviewing these updates, and continued use of the service after changes implies acceptance of the revised terms.
10. Dispute Resolution
10.1 Negotiation & Mediation: In case of disputes, both parties agree to first attempt resolution through mutual discussion or mediation.
10.2 Arbitration Process: If negotiation fails, disputes shall be referred to arbitration in accordance with the laws of India. Arbitration proceedings will be conducted in Ankleshwar, Gujarat, and the decision of the arbitrator shall be final and binding.
10.3 Legal Costs: Each party shall bear its own legal expenses unless the arbitrator decides otherwise.
11. Governing Law
11.1 Jurisdiction: These Terms & Conditions are governed by the laws of India. Any disputes arising from these terms shall be settled under Indian law.
11.2 Legal Proceedings: Any legal proceedings related to STPL services must be initiated in the courts of Ankleshwar, Gujarat.
